Terms & Conditions

1. Definitions
In these Terms and Conditions:
- "Agreement" means these Terms and Conditions and any separate written scope document or order confirmation.
- "Verithos", "we", "us", "our" refers to Verithos, registered in Malaysia, operating from Suite 14-2, Menara See Hoy Chan, 374 Jalan Tun Razak, 50400 Kuala Lumpur.
- "Client", "you" refers to the organisation or individual purchasing or using our services.
- "Services" refers to the template pack, workshop, and programme refresh offerings described on this website.
- "Materials" refers to template documents, written reports, and marked-up documents delivered by Verithos.
2. Acceptance of Terms
By submitting an enquiry, completing a purchase, or entering into an engagement with Verithos, you confirm that you have read and agree to these Terms and Conditions. You must be at least 18 years of age and have capacity to enter into a binding agreement on behalf of your organisation.
3. Service Description
Verithos provides three employment policy documentation programmes for business organisations:
- Core Employment Policy Template Pack (RM 590): A one-time purchase of editable policy templates with six-month update window.
- Policy Adaptation Workshop (RM 1,950): A one-day facilitated session for up to ten participants.
- Employment Policy Programme Refresh (RM 4,400): An approximately ten-week consulting engagement including discovery audit, drafting support, and written summary report.
All services are available to business organisations registered in Malaysia. Geographic restrictions may apply for on-site workshops outside the Klang Valley — please enquire before booking.
4. Nature of Materials
All materials produced by Verithos, including template packs, marked-up outputs, and written reports, are provided for informational and drafting reference purposes only. They are not and should not be treated as legal advice, legal opinions, or formally approved employment policy documents. Verithos is not a law firm and does not provide legal advisory services. The client is solely responsible for obtaining appropriate professional advice before implementing any policy document.
5. User Responsibilities
- Provide accurate information when placing an order or engaging Verithos for services.
- Engage qualified advisors to review and formally approve any policy document before it is implemented or communicated to employees.
- Not present Verithos materials as formally approved or legally reviewed documents without having obtained such review independently.
- Maintain the confidentiality of any login credentials or download links provided for accessing purchased materials.
- Not resell, redistribute, or sub-license Verithos template materials to third parties.
6. Intellectual Property
All templates, reports, written outputs, and other materials produced by Verithos remain the intellectual property of Verithos until full payment has been received, at which point a limited, non-exclusive, non-transferable licence is granted to the purchasing organisation for internal use only. The licence does not permit redistribution, resale, or use of materials as the basis of a commercial template product.
7. Payment Terms
- Template Pack: payment in full required before delivery of materials.
- Workshop: 50% deposit required to confirm booking; remainder due prior to the session date.
- Programme Refresh: 30% deposit required to confirm engagement; remainder invoiced in two equal instalments at Week 4 and Week 10 of the engagement.
Prices are quoted in Malaysian Ringgit (RM) and are exclusive of any applicable taxes. We accept payment by bank transfer.
8. Refund Policy
- Template Pack: no refunds once the download link has been accessed.
- Workshop: deposit is non-refundable for cancellations within seven business days of the session date. Full deposit refunded for cancellations made more than seven business days in advance.
- Programme Refresh: deposit is non-refundable once the engagement has commenced (i.e., once the discovery audit has begun).
9. Confidentiality
Where the client shares internal documents, policies, or organisational information with Verithos during an engagement, Verithos will not disclose that information to any third party and will delete all client documents within 30 days of engagement completion. Verithos may use anonymised, non-identifiable observations from engagements to improve its materials and processes.
10. Disclaimers
Services and materials are provided on an "as is" basis for informational and drafting reference purposes. Verithos makes no representation that the materials are legally compliant, complete, or appropriate for any specific organisation's circumstances. Results from using Verithos materials will depend on how they are adapted, reviewed, and implemented by the client and their advisors.
11. Limitation of Liability
To the maximum extent permitted under Malaysian law, Verithos's total liability to the client in connection with any engagement shall not exceed the amount paid by the client for that specific service. Verithos shall not be liable for indirect, consequential, or incidental losses arising from the use of, or reliance on, materials or services provided.
12. Termination
Either party may terminate a programme refresh engagement with 14 days' written notice. In the event of termination by the client, fees are due for all work completed up to the date of termination, prorated against the engagement scope. In the event of termination by Verithos for cause (including non-payment), all outstanding fees become immediately due.
13. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from or in connection with an engagement shall first be referred to good-faith discussion between the parties. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
14. General
- These Terms constitute the entire agreement between the parties regarding the services described.
- If any provision is found unenforceable, the remaining provisions continue in full effect.
- Failure to enforce any provision does not constitute a waiver of that right.
- These Terms may be updated from time to time. Continued use of our services after updates are posted constitutes acceptance.
